1. About these Terms
These Terms of Service (Terms) form a binding agreement between you (you, your, or User) and Simon Harris, an Australian sole trader operating under the business name TradieKit.io (we, us, our, or TradieKit), the operator of the website at tradiekit.io and all related tools, subdomains, and services (collectively, the Service).
By creating an account, accessing, or using any part of the Service — including the free tools — you agree to these Terms, our Privacy Policy and our Refund Policy. If you do not agree, you must not use the Service.
2. Definitions
- Account — the user account you register to access the Service.
- Free Tools — the Quote Generator, Invoice Generator, and any other features marked as free.
- PRO Subscription — the paid plan giving access to premium features.
- User Content — any data, text, images, logos, client details, quotes, invoices, portfolio items, review content, or other material you upload, submit, generate, or publish through the Service.
- Payment Processor — Stripe, the third-party payment provider we use to process subscription billing and issue receipts.
- Affiliate Provider — Rewardful, the third-party service we use to operate our Partner Program, track referrals, and calculate affiliate commissions.
3. Eligibility & accounts
To use the Service you must be at least 18 years old, legally able to enter a binding contract, and (for business features) operating or intending to operate a lawful trade business.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. Notify us immediately at bizkitconnect@outlook.com if you suspect unauthorised access. You must provide accurate, current, and complete information when registering.
One natural person per Account. You may not share credentials, sell, or transfer your Account.
4. The Service
TradieKit provides web-based business tools for tradespeople, including (without limitation) quote generation, invoicing, a pricing calculator, a job tracker, portfolio and website builders, a review collector, and email/marketing templates. The Service is provided on an "as is" and "as available" basis.
We may add, modify, suspend or remove features at any time. Where we make a material adverse change to a feature you paid for, we will endeavour to give you reasonable prior notice.
5. Free and PRO plans
The Quote Generator and Invoice Generator are free to use. Other tools, storage, publishing, and advanced features require a PRO Subscription. We may change what is free or paid on a prospective basis.
6. Fees, billing & taxes
PRO Subscriptions are billed on a recurring monthly basis at the price displayed at checkout (currently USD $19 per month unless otherwise stated), via our Payment Processor. Our Payment Processor's own terms and privacy policy apply to the payment transaction and are linked from the checkout page.
By purchasing a PRO Subscription you authorise our Payment Processor to charge your nominated payment method at the beginning of each billing cycle until you cancel. Subscriptions renew automatically.
Prices may be shown exclusive of applicable taxes, VAT, or GST, which we or our Payment Processor will collect where required by law. You are responsible for any taxes, duties, or levies other than those on our income.
Failed payments may result in suspension or downgrade of your Account after reasonable notice.
7. Cancellations & refunds
You may cancel your PRO Subscription at any time from your Account dashboard or by emailing bizkitconnect@outlook.com. On cancellation, your PRO access continues until the end of the current paid period, after which it will not renew.
Except where required by law (including under the Australian Consumer Law), all payments are non-refundable and we do not provide pro-rata refunds for unused portions of a billing period. Full details are set out in our Refund Policy, which forms part of these Terms.
8. Your content
You retain all ownership of User Content. You grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, copy, process, display, transmit, and back up User Content solely to operate and improve the Service, and to allow you to publish the content you choose to publish (for example, your portfolio page or public business website).
You represent and warrant that: (a) you own or have all necessary rights to the User Content; (b) it does not infringe any third party's intellectual property, privacy, or other rights; (c) it is not unlawful, defamatory, misleading, or deceptive; and (d) where it contains personal information of your clients, you have the right to upload and process it and have provided any required notices to those individuals.
We do not actively monitor User Content but reserve the right to remove or disable access to content we reasonably believe breaches these Terms or the law.
9. Acceptable use
You must not, and must not permit any third party to:
- use the Service for any unlawful, fraudulent, or deceptive purpose;
- upload malware, viruses, or harmful code;
- attempt to gain unauthorised access to the Service or its underlying systems (including our hosting, database, authentication, payment, or any other integration);
- reverse engineer, decompile, scrape, or copy the Service except as expressly permitted by law;
- use the Service to send spam or unsolicited messages in breach of the Spam Act 2003 (Cth) or equivalent laws;
- impersonate another person or misrepresent your affiliation;
- use the Service to create a competing product;
- submit content that is obscene, harassing, threatening, or otherwise objectionable;
- interfere with or disrupt the Service's integrity or performance.
10. Our intellectual property
TradieKit, the TradieKit.io name, logo, site design, templates, copy, and underlying software are owned by Simon Harris (or licensed to us) and are protected by copyright and trade mark laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes. No other licence is granted.
Where you export a document you generate (such as a quote PDF, invoice PDF, or portfolio page), you own that output as it relates to your own business information; the underlying templates and software remain ours.
11. Third-party services
The Service integrates with third-party providers including (without limitation) Supabase (authentication and database), Vercel (hosting), Stripe (payments and subscription billing), Rewardful (affiliate tracking for the partner program), and email delivery providers. Your use of those services is subject to their own terms and privacy policies. We are not responsible for the acts or omissions of third-party providers, but we select them with care.
12. Disclaimers — no professional advice
The Service provides templates, calculators, and tools for general business administration. It does not provide legal, taxation, financial, accounting, insurance, licensing, WHS, or other professional advice. You are solely responsible for:
- the accuracy of pricing, GST/tax treatment, and tax invoice requirements in any quote or invoice you generate;
- compliance with the licensing and regulatory requirements of your trade and jurisdiction;
- the adequacy of any contract terms you copy from our templates;
- confirming calculations before relying on them commercially.
To the maximum extent permitted by law, we make no warranty that the Service will be uninterrupted, error-free, secure, or that any data will not be lost. You should maintain your own backups of critical information.
13. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law (ACL)) or any other legislation, the exclusion of which would contravene that law or cause any part of these Terms to be void (Non-Excludable Rights).
Where the Service is a "consumer" supply under the ACL, you may be entitled to consumer guarantees including that the Service will be provided with due care and skill and will be reasonably fit for purpose. Where we are permitted to limit our liability for breach of a Non-Excludable Right in respect of a supply that is not of a kind ordinarily acquired for personal, domestic, or household use, our liability is limited, at our option, to resupplying the Service or paying the cost of having the Service resupplied.
14. Limitation of liability
Subject to section 13 and to the maximum extent permitted by law:
- we will not be liable for any indirect, consequential, incidental, special, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, data, or anticipated savings, even if we were advised of the possibility;
- our total aggregate liability to you, for all claims arising out of or in connection with the Service or these Terms, will not exceed the greater of (a) the total fees you actually paid to us (via our Payment Processor) in the three (3) months immediately preceding the event giving rise to the claim, or (b) AUD $100.
15. Indemnity
You agree to indemnify and hold us harmless from any claim, loss, damage, liability, or expense (including reasonable legal costs) arising out of or connected with: (a) your User Content; (b) your breach of these Terms or of any law; (c) your infringement of any third party's rights; or (d) your misuse of the Service.
16. Suspension & termination
You may terminate these Terms at any time by cancelling your Account. We may suspend or terminate your access immediately, without refund (except as required by law), if you materially breach these Terms, use the Service unlawfully, or create risk or legal exposure for us.
On termination: (a) your right to use the Service ceases; (b) we may delete your User Content after a reasonable period; (c) sections intended to survive (including 8 licence grant, 12 to 15, 18, and 19) will survive.
17. Changes to the Service and these Terms
We may amend these Terms at any time. Material changes will be notified via email or an in-Service notice at least 14 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree to the changes, you must stop using the Service and may cancel your Subscription.
18. Governing law & dispute resolution
These Terms are governed by the laws of New South Wales, Australia. You and we irrevocably submit to the exclusive jurisdiction of the courts of New South Wales and the courts of appeal from them. You agree that any claim must be brought in your individual capacity and not as part of a class action.
Before commencing proceedings, the parties agree to first attempt in good faith to resolve any dispute by written notice to bizkitconnect@outlook.com, followed by 30 days of negotiation. This does not prevent either party from seeking urgent injunctive relief.
19. General
- Assignment. You may not assign these Terms without our consent. We may assign to a successor in connection with a sale or restructure of the business.
- Entire agreement. These Terms, the Privacy Policy, and the Refund Policy are the entire agreement between you and us regarding the Service.
- Severance. If any provision is held unenforceable, the remaining provisions continue in full force.
- No waiver. Failure to enforce any right is not a waiver of that right.
- Force majeure. We are not liable for any delay or failure due to events beyond our reasonable control.
- Notices. Notices to us must be sent to bizkitconnect@outlook.com. Notices to you may be sent to the email address on your Account.
